At the 2019 SEMA Show, the National Auto Body Council™ held its annual meeting and board elections. In addition to re-electing five board members whose terms were expiring, it also welcomed two new members to the National Auto Body Council™ Board.

This year has been one of innovation and reexamination of our industry regardless of which segment you conduct business in. We see it all as positive and creating the runway for the collision industry’s future.
The purpose for this communication is to prepare all for the upcoming National Auto Body Council™ Annual Meeting scheduled for November 6, 2019 in Las Vegas during SEMA week. Per our Bylaws we are providing to you documents to be reviewed and voted upon during our Annual Meeting. We have three areas we need you to review and be prepared to cast a vote upon. There is an additional event for consideration for current and newly elected Board of Directors members.

1. 2018 Annual Meeting Minutes. These Minutes were presented to the Board of Directors and were approved in our Dallas BOD Meeting in April 2019. We need the Membership vote to approve now.

2. NABC™ Articles of Organization to be amended to reflect that NABC™ does in fact have members. When originally filed in 1994 it was filed that NABC™ was to not have members (per download - NABC™ Articles of Organization) so your vote on this will allow our legal counsel to file amended Articles of Organization in the Commonwealth of Massachusetts.

3. The NABC™ Board of Directors elects seven new members annually per our Bylaws. You will find included in the downloadable PDF "2019-20 Annual Meeting Elections" outlining the nine candidates who are up for election or re-running. There are two open seats and five individual seats that are up for vote for new or incumbent candidates. Bios, photos and contact information for each are included in the PDF.

4. If you are a board member currently or are elected to the board, please plan to attend the closed session after the election is complete. The new board (only) will go into a closed session and elect the Executive Committee.

2019 NABC Board of Directors Election Process
The National Auto Body Council Board is comprised of collision repair industry companies and individuals representing the industry's thought leaders. These volunteer board members donate their time and expertise to lead the NABC and serve our industry membership. The election of the NABC Board of Directors is governed by the NABC Bylaws below. Complete bylaws and policies are available for download at the bottom of this page.
NATIONAL AUTO BODY COUNCIL BYLAWS
ARTICLE II
Directors
Section 1. Elections. Members seeking the position of Director must notify the corporation or the Executive Director at least 60 days before the Annual Meeting in writing in order to be included on the ballot. Any member wishing to nominate a person for Director must submit that nomination in writing to the Corporation or Executive Director.
All nominees must be current individual members or the designated representative of a member company, in order to be considered a candidate for the Board of Directors. Said nomination must be submitted by a minimum of three members and must be received 60 days before the Annual Meeting.
The election notice for the Board of Director positions considered for election shall then be sent to all members at least 30 days prior to the Annual Meeting. The election notice shall include the number of Director seats to be voted on, the candidate’s name, city and state, business address, and e-mail, and if they are an incumbent.
The election shall take place at the Annual Meeting at which time all members shall have the right to vote on any matter that may come before that Meeting. Members must be present at the Meeting to vote. Proxy votes are not allowed.
Section 6. Term of Office. Except as otherwise provided by law, the Articles of Organization, or these bylaws, the term of office to which each Director is elected is three (3) years or until a successor is elected. There shall be a limit of three consecutive terms for which a Director may be elected. After three successive terms and upon a replacement having been elected, a Director may seek election the following year or may be appointed as per the bylaws herein established.

The nomination process is now closed. NABC Board of Directors nominations were due September 6, 2019, 60 days prior to the NABC Annual Meeting and Board Elections on November 6, 2019, at the 2019 SEMA Show in Las Vegas. For your information, please note the following criteria for board nomination:

The roster of qualified nominated candidates and incumbents is available by clicking here. To attend the NABC Annual Meeting and participate in the NABC Board of Directors election, you must be a NABC member in good standing. No proxy votes will be allowed.
